(EMAILWIRE.COM, March 13, 2008 ) DALLAS – Haynes and Boone, LLP has been honored for its role in the Amapá Mineração transaction, one of Trade Finance Magazine's 2007 Deals of the Year.
Haynes and Boone acted as international counsel for MMX Mineração e Metálicos S.A. (MMX), a Brazilian company listed on the Sao Paulo and Toronto exchanges, in connection with the financing of an integrated iron-ore mining and infrastructure logistics project relating to MMX's Amapá mining facility.
The MMX financing consisted of a three-tranche facility aggregating US$250MM in bank facilities and R$580,000,000 of financing from the Brazilian Development Bank (BNDES).
The project, which began operations in December 2007, is located in the state of Amapá on the far northern border of Brazil, and includes a significant iron ore deposit and a 192-kilometer railway connecting the mine location to an existing port facility and 71 hectares of real estate on the banks of the Amazon River, where MMX built a loading terminal for iron ore exports. Output from the mine is committed under a long-term export arrangement.
“The success of this project was the result of collaboration among the many different parties and counsel, but also represents the kind of cutting-edge projects work for which we are known,” said Gilbert D. Porter, the Haynes and Boone partner who led the firm’s work on the transaction.
Said MMX General Counsel Paulo de Gouvêa: “Gil Porter, his team and Veirano Advogados made a true difference in assisting MMX to put together Brazil’s first mining project financing. The deal involved multi-source financing and an intricate off-take arrangement with another construction phase project located on the other side of the globe.”
The Haynes and Boone team led by Mr. Porter, who handled the U.S. and international representation of MMX and its Amapa project subsidiary, worked closely with partner Claudio Lampert and associate Roberta Bassegio of Veirano Advogados in Brazil. The two law firms are members of the World Services Group, a global network of multi-disciplinary professional service firms that provides its members, on a non-exclusive basis, access to professional service providers throughout the world. The two law firms worked with MMX’s de Gouvêa and senior corporate counsel Joel Rennó, Jr.
Mr. Porter, a partner in Haynes and BooneÂ’s 30-lawyer New York office, is co-chair of the firmÂ’s Projects Practice Group, and also a member of its Finance and Latin American practice groups. The Finance and Projects practices, principal sponsors of this yearÂ’s ProjectFinance magazine U.S. Power Finance Forum, are widely known for their international capabilities. The firmÂ’s Latin American practice group, meanwhile, has been recognized as one of the leaders in Latin America by numerous business organizations and publications. They include Latin Lawyer and the Chambers USA 2007 directory, which singled out Americas Practice Group chairman Larry Pascal for a national accolade in the Latin American Investment category. As part of its Latin American practice, Haynes and Boone maintains one of the largest Mexico City practices of any U.S. law firm.
The Trade Finance Magazine Deals of the Year are a celebration of the year’s best financial transactions submitted from various institutions including banks, law firms, and financial advisers. The Amapá Mineração deal was submitted to Trade Finance by Banco ABC Brasil.
