Dow Jones reported that Berkshire Hathaway, Inc. is selling a massive $8 billion debt offering on February 4, 2010. The issue will include $2 billion of one-year floating-rate notes, launched at a spread flat to three basis points above the three-month London Interbank Offered rate; $1.1 billion of two-year floating-rate notes, launched at a spread of 18 basis points over Libor; $600 million of two-year fixed-rate notes, launched at 65 basis points over Treasurys; $1.2 billion of three-year floating-rate notes, launched at 45 basis points over Libor; $1.4 billion of three-year fixed-rate notes, launched at 85 basis points over Treasurys and $1.7 billion of five-year fixed-rate notes, launched at 95 basis points over Treasurys. Berkshire's 4.0% issue due 2012 is currently quoted at 60 basis points over Treasurys. According to the preliminary prospectus filed with the Securities and Exchange Commission, Berkshire intends to use all of the net proceeds from the sale of the notes 'as part of the cash consideration to be paid to the stockholders of BNSF in connection with its acquisition, through merger, of BNSF'. The Company adds that if the conditions for the acquisition are not met, 'the Company expect to use the net proceeds for general corporate purposes'.
